Slovakia Implements New Commercial Register Act
On August 23, 2026, Slovakia enacted the new Commercial Register Act, aiming to streamline company registration processes and reduce administrative burdens for entrepreneurs. Key changes include:
- Document Authorization: Founding documents for limited liability companies now require authorization by an attorney or must be prepared as a notarial deed, replacing the previous requirement for notarized signatures.
- Business Name Reservation: Entrepreneurs can reserve a business name for up to 60 days, a feature not previously available.
- Unregulated Trade Licenses: The process for establishing companies with unregulated trade licenses is simplified, allowing direct registration with the Commercial Register without prior registration with the Trade Licensing Office.
- Legal Representation: Companies may now be legally represented before the Commercial Register only by an attorney, a notary, or an employee holding a notarized power of attorney.
- Interconnection of Registers: Reference registers are interconnected, eliminating the need for repeated submission of documents already recorded in other source registers.
- Increased Fines: The maximum fine for breaches of obligations has increased from EUR 3,310 to EUR 4,000.
- Company Chaining Restrictions Lifted: The prohibition on chaining limited liability companies has been removed, allowing a sole shareholder to establish multiple limited liability companies.
These reforms are expected to expedite company registrations, enhance electronic communication, and improve the overall business environment in Slovakia.
