Enhancements to Jersey's Companies Law Implemented
Jersey's company law framework has undergone significant enhancements through two amending laws, further strengthening its appeal to international markets. These updates, effective from June 2026, aim to modernize and streamline corporate operations on the island.
Key Amendments Introduced
The first amendment, effective from 1 June 2026, introduces over 80 changes designed to ensure Jersey's company law remains modern, user-friendly, flexible, and effective. Notable changes include:
- Public Company Definition: Removal of the provision that deemed companies with over 30 members as public.
- Error Correction: Introduction of a regime allowing companies to correct certain errors without court intervention.
- Share Capital Requirements: Elimination of the need to state authorized share capital in the company's memorandum of association.
- Share Transfer Flexibility: Increased flexibility regarding share transfer and share certificate requirements.
- Merger Relief: Introduction of provisions for merger relief.
- Audit Requirements: Removal of the dual audit requirement for Jersey companies listed on certain securities exchanges, including the New York Stock Exchange.
Introduction of Administration Procedure
The second amendment, effective from 19 June 2026, introduces an administration procedure as an alternative to insolvency. This procedure allows for:
- Business Rescue: The rescue of financially distressed but viable businesses as going concerns.
- Asset Realization: Achieving higher asset realization than would occur in a winding-up procedure.
Under this procedure, Jersey's Royal Court can appoint an administrator and grant a moratorium on creditor action if satisfied that one of these aims would be achieved. Applicants must demonstrate that the company is insolvent or likely to become insolvent.
Implications for Businesses
These legislative enhancements provide businesses with greater flexibility and improved mechanisms for corporate governance and financial management. The modernization of Jersey's company law is expected to enhance the island's competitiveness as a jurisdiction for international business.
